Cody represents private equity firms, public companies, private companies, and financial advisors on a variety of corporate and securities matters including mergers and acquisitions (M&A), alternative investments, securities offerings and financings, public company reporting, and corporate governance.

Cody understands his clients’ industries, business goals and risk profiles, with the ability to navigate complex transactions and provide tailored and strategic counsel. Clients value Cody’s sophisticated understanding of how to navigate the issues encountered in a transaction. He has a unique ability to assist investors throughout the life cycle of an investment, navigating business, regulatory, and transactional issues.

He frequently represents clients before the US Securities and Exchange Commission, Nasdaq, and other securities exchanges with respect to capital market transactions, regulatory matters, and listing qualifications.

Mergers & Acquisitions

  • Asphalt Inc., LLC, (d/b/a Lone Star Paving), an asphalt manufacturing and paving company, in its sale to Construction Partners, Inc. (Nasdaq: ROAD).
  • Altaris Capital Partners and its portfolio company Clearwater Compliance, a cybersecurity, privacy, and compliance services firm, in their take-private acquisition of CynergisTek (NYSE: CTEK).
  • NEXT Renewable Fuels (n/k/a NXTClean Fuels) in connection with its acquisition of substantially all of the assets of Red Rock Biofuels through a bondholder-initiated foreclosure sale.
  • TruGolf Holdings, Inc. (Nasdaq: TRUG), a seller and distributor of golf simulator software and hardware, in its business combination with Deep Medicine Acquisition Corp.
  • SportsMap Tech Acquisition Corp. in its business combination with Infrared Cameras Holdings, Inc. (Nasdaq: MSAI), a provider of thermal imaging, sensing, and predictive maintenance platforms.
  • Nukkleus Inc. (Nasdaq: NUKK), a FOREX technology, custody, and payment services provider, in its business combination with Brilliant Acquisition Corp.
  • An IT Cybersecurity and Managed Service Provider (MSP) in multiple strategic acquisitions for a combination of cash and stock.
  • iCoreConnect Inc. (Nasdaq: ICCT) in multiple strategic acquisitions for a combination of cash and stock.

Securities, Corporate Governance, and General Corporate

  • NXTClean Fuels in their $37.5 million preferred stock strategic financing from United Airlines Ventures, a subsidiary of United Airlines.
  • Multiple family offices and university endowments in connection with ongoing private equity fund investment analysis and review.

Previous Work

Cody’s prior experience as a Certified Public Accountant (CPA), auditor, and M&A consultant have facilitated his interactions with various stakeholders and advisors on complex transactions.  

Cody previously worked in the Investor Protection Center of the Bluhm Legal Clinic at Northwestern University and participated in several programs in law school which are relevant to his practice today, including:

  • US Securities and Exchange Commission, Student Honors Program;
  • US Attorney’s Office for the Northern District of Indiana, Legal Extern; and
  • Hon. Peter Carroll, US Bankruptcy Court for the Central District of California, Judicial Extern.
